The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: "Client", "You" and "Your" refers to you, the person accessing this website and accepting the Springdeck's terms and conditions. "The Company", "Ourselves", "Springdeck", "We" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Pricing

There are two options to choose from, a Lite and Pro version, both require a $50 setup fee. The Lite version comes with CRM, weekly updates, users, 3 GB of storage, and 3 libraries. The Pro version includes all those features but an added 3 libraries for customized content.

Privacy Statement

We are committed to protecting your privacy. Authorized employees within the company on a need to know basis only use any information collected from individual customers. We constantly review our systems and data to ensure the best possible service to our customers. The government has created specific offenses for unauthorised actions against computer systems and data. We will investigate any such actions with a view to prosecuting and/or taking civil proceedings to recover damages against those responsible

Analytics

Springdeck owns the analytic information predicated upon the use of the platform/application. We may distribute this information to licensed manufacturers or representatives.

Payment

Payment;State and Local Sales Tax. Payment for Products will be made by a valid credit card accepted by Springdeck. If a free trial has been provided then you have previously provided your credit card for payment, you hereby authorize Springdeck to charge your credit card for such amounts on a regular yearly basis beginning at the end of your free trial period and continuing until such time as your account is terminated. If Springdeck is for any reason unable to effect automatic payment via your credit card, Springdeck will attempt to notify you via email and your account will be disabled until payment is received. Springdeck is required to collect and remit sales tax from its customers located in state and local jurisdictions where software delivered as a service is taxable and where Springdeck maintains a physical presence. Springdeck determines your local taxing jurisdiction based on the billing address that you list in the "My Account" section of your account.

Copyright and Trademark Information

This Website, and the information which it contains, is the property of Springdeck and its affiliates and licensors, and is protected as a collective work and/or compilation by United States copyright law, trademark law, international conventions and other intellectual property laws. Subject to all terms and conditions of this Agreement, Springdeck grants you a nonexclusive, non-transferable right and license (without right to sublicense) to access and use the Products solely for your internal business purposes. Except as expressly provided herein, you may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the Website, software, materials, or services in whole or in part. Springdeck product or service names or logos appearing in this Website are either trademarks or registered trademarks of Springdeck or its affiliates or licensors. The absence of a product or service name or logo from this list does not constitute a waiver of Springdeck's trademark or other intellectual property rights concerning that name or logo. You may not use or display any trademarks, service marks, or trade names owned by us or our licensors without our prior written consent

Termination

You may terminate this Agreement at any time by calling/emailing Springdeck or, if you are accessing our Products by contracting with a reseller, contacting such reseller. YOU ARE RESPONSIBLE FOR TERMINATING YOUR ACCOUNT AND THIS AGREEMENT AND SPRINGDECK IS NOT RESPONSIBLE FOR YOUR FAILURE TO PROPERLY TERMINATE YOUR ACCOUNT AND THIS AGREEMENT AND ANY CREDIT CARD CHARGES AND FEES YOU INCUR AS A RESULT OF YOUR FAILURE TO PROPERLY TERMINATE YOUR ACCOUNT AND THIS AGREEMENT.

Intellectual Property Matters

Intellectual Property Matters. You agree that (i) Springdeck shall have the right to compile and analyze results and to prepare reports, studies, analyses and other work product resulting from the aggregate data compiled from you and other Springdeck customers and (ii) we shall have exclusive ownership rights to, and the exclusive right to use, such compiled data and reports for any purpose, including, but not limited to advertising, marketing, and promotion of networking opportunities to other customers and prospective customers of the Services; provided, however, that Springdeck shall not distribute compiled data and reports in a manner that identifies you without first obtaining your prior written consent.

Log Files

We use IP addresses to analyze trends, administer the site, track user's movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL.

Cookies

Like most interactive web sites this Company's website [or ISP] uses cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those people visiting. Some of our affiliate partners may also use cookies.

Restrictions and Responsibilities

No Rights in Software. The Products are made available to you solely as hosted by or on behalf of Springdeck, and nothing in this Agreement shall be construed to grant you any right to receive any copy of any software, documentation, or data related to the Products (Software). You will not, directly or indirectly, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of, or found at or through the Products or the Software; remove any proprietary notices or labels from the Products or any Software, modify, translate, or create derivative works based on the Products or any Software; or copy, distribute, publish, pledge, assign, or otherwise transfer or encumber rights to the Products or any Software.

Unless you are an authorized reseller of the Products, you may not display, copy, reproduce, or distribute the Software, any component thereof, any documentation provided in connection with the Products or the Software, or any content, including but not limited to newsletters, distributed to you by Springdeck in connection with the Products. Violation of these restrictions may result in the termination of this Agreement.

Permitted Use of the Products: The Products shall be used for your internal business (which includes civic or charitable) purposes only, and you shall not use the Products or any Software for timesharing or service-bureau purposes or otherwise for the benefit of a third party. If you are using the Products in any jurisdiction which restricts the ability of a software provider to restrict your right to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Software or Products, then you hereby covenant that, prior to engaging in such activities, you will first request that Springdeck perform such work at its standard professional services rates. We can then decide either: (i) to perform the work in order to achieve such interoperability and charge its then standard rates for such work to you; or (ii) to permit you to reverse engineer parts of the Software in order to obtain such source code, but only to the extent necessary to achieve such interoperability or (iii) provide you with the information that you need regarding the Software for the purpose for which applicable law permits you to engage in such activities despite a contractual prohibition on such activities.

Waiver

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

Notification of Changes

The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. If there are any changes to our privacy policy, we will announce that these changes have been made on our home page and on other key pages on our site. If there are any changes in how we use our site customers' Personally Identifiable Information, notification by e-mail will be made to those affected by this change. Any changes to our privacy policy will be posted on our web site 30 days prior to these changes taking place. You are therefore advised to re-read this statement on a regular basis

These terms and conditions form part of the Agreement between the Client and us. You're accessing of this website and/or undertaking of a booking or Agreement indicates your understanding, agreement to and acceptance, of the Disclaimer Notice and the full Terms and Conditions contained herein. Your statutory Consumer Rights are unaffected.
